1. Acceptance of Terms

By accessing and using PayRef ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our Service.

2. Description of Service

PayRef is a web-based referral tracking platform that enables:

• Businesses to create and manage referral campaigns
• Referrers to join campaigns and earn commissions
• Tracking of clicks, leads, and conversions
• Commission calculation and status tracking

Important: PayRef is a tracking platform only. We do NOT process payments, hold funds, or guarantee commission payouts. All payments are made directly between businesses and referrers.

3. User Accounts

3.1 Account Creation

• You must be at least 18 years old to create an account
• You must provide accurate and complete information
• You are responsible for maintaining account security
• One person or entity may only maintain one account

3.2 Account Types

• Business Accounts: For businesses creating referral campaigns (paid subscription required)
• Referrer Accounts: For individuals joining campaigns and earning commissions (free)
• Admin Accounts: For platform administration (by invitation only)

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activities.

4. Subscription and Payment

4.1 Business Subscriptions

Business accounts require a paid subscription:

• 3-month free trial available for new accounts
• Monthly plan: ₹995/month
• Yearly plan: ₹8,500/year (save 29%)
• Payments processed securely through Razorpay

4.2 Billing and Renewal

• Subscriptions auto-renew unless cancelled
• Billing occurs at the start of each billing cycle
• Refunds available within 7 days of initial purchase
• Cancelled accounts retain access until end of billing period

4.3 Referrer Accounts

Referrer accounts are completely free. There are no fees to join campaigns or use the platform.

5. Referral Commissions

5.1 Commission Structure

Businesses define commission structures for their campaigns:

• Flat-rate commissions (fixed amount per conversion)
• Percentage-based commissions (% of sale value)

5.2 Commission Tracking

PayRef tracks and displays commission status but does NOT process payments:

• PENDING: Commission created, awaiting business approval
• PAID: Business has marked commission as paid

5.3 Payment Responsibility

IMPORTANT: All commission payments are made directly by businesses to referrers. PayRef is NOT involved in the payment process and does not hold, transfer, or guarantee any funds. Disputes regarding payments must be resolved between the business and referrer.

6. User Conduct and Prohibited Activities

Users must NOT:

• Use the Service for any illegal purposes
• Create fake or fraudulent referrals
• Manipulate click or conversion tracking
• Share account credentials with others
• Spam or harass other users
• Attempt to hack or compromise the platform
• Create multiple accounts to abuse free trials
• Use automated bots or scripts for clicking links
• Misrepresent products or businesses

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of content you upload (product descriptions, images, etc.). By uploading content, you grant PayRef a license to display and use it as necessary to provide the Service.

7.2 PayRef's Intellectual Property

The PayRef platform, including its design, code, and features, is owned by PayRef and protected by intellectual property laws. You may not copy, modify, or distribute our platform.

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure service.

8.2 No Guarantee of Earnings

We make no guarantees about referrer earnings or business results. Success depends on many factors outside our control.

8.3 Limitation of Liability

PayRef shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability is limited to the amount you paid for the Service in the past 12 months.

9. Indemnification

You agree to indemnify and hold PayRef harmless from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

10. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect and use your information.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or platform notification. Continued use of the Service after changes constitutes acceptance of the new terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in [Your City], India.
